Marathon Petroleum sold Speedway — its 3,800-store company-operated chain — to 7-Eleven in a $21 billion transaction that closed in May 2021. What that left behind is a refiner whose retail presence runs entirely through branded dealers and jobbers, which is the structure an individual buyer can actually participate in.

It also left a very large fuel supply relationship attached to those stores, and a company whose commercial priority is placing gallons rather than operating storefronts. For a dealer, a supplier that is not simultaneously running a competing chain across the street is a materially different relationship than it was before 2021.

Post-Speedway, the brand travels through dealers

With the company-operated chain divested, Marathon-branded retail is a dealer and jobber network. That is the population a buyer can transact in, and it means comparable sales are independent-operator deals rather than corporate portfolio trades — which in turn means the comps are harder to find and the value of a broker who sees the private ones is higher.

A supplier focused on placing volume

A refiner whose retail exposure runs through dealers has an interest in those dealers succeeding and growing. In practice that can show up as image support, competitive supply terms in contested corridors, and appetite to fund conversions. It is worth asking directly what support is available on a site you are considering, before you assume the capital plan is entirely yours.

Underwrite the corner, not the parent's balance sheet

A large investment-grade refiner behind the brand is reassuring and largely irrelevant to your return. You are buying gallons through a specific corner, a store with a specific basket, and a contract with a specific counterparty. The parent's credit matters to a net lease investor buying a corporate lease — which is not what a branded dealer site is.

How a branded fuel site actually works

Three assets, one price

Real estate, an operating business, and a fuel supply agreement. The first two get underwritten by almost every buyer; the third decides your cost of goods and your required capital, and it is the one most often read last.

The brand is licensed, not leased

The refiner does not operate the store or pay you rent. An independent operator or a branded wholesaler holds the rights and supplies the site, so ask who the supplier is and what term is left before you form a view on value.

PMPA sits underneath

The federal Petroleum Marketing Practices Act governs how a supplier may terminate or decline to renew a franchised dealer relationship. Useful protection, and not a substitute for reading the agreement you are inheriting.
